englischIn contrast to upward information the topic of information duties of a parent company towards its subsidiaries has received next to no attention. This is hardly surprising since efficient information systems are part of a good corporate group governance and since the subsidiaries’ boards might not want to press those who are calling the shots in the supervisory board. The question of whether, when and to what extent a controlling company must provide information in response to questions or even clarify matters on its own initiative nev-ertheless deserves more attention. It not only matters in a crisis, but is relevant every day as a component of group related governance.
Anders als für aufsteigende Informationen zur Konzernleitung wurde das Thema der Informationspflichten der Konzernspitze gegenüber den abhängigen Gesellschaften bisher kaum untersucht. Das kann insoweit wenig überraschen, als dass effiziente Informationssysteme Teil einer guten Konzernorganisation sind und der Vorstand der abhängigen Gesellschaft im Zweifel ggfs. nicht die fütternde Hand beißen mag. Die Frage ob, wann und in welchem Umfang eine herrschende Gesellschaft auf Fragen Auskunft erteilen oder sogar eigeninitiativ aufklären muss, verdient dennoch eine weniger stiefmütterliche Behandlung. Sie wird nicht nur in der Krise virulent, sondern ist als Bestandteil guter Unternehmensführung tagtäglich relevant.
