englischOn the basis of the analysis of the requirements of article 19 of the European Directive on restructuring and insolvency and thereupon the programme of duties of the managing directors pursuant to § 1 StaRUG on crisis management, the author addresses the doubts about the sufficient implementation of the directive requirements for the period before the preventive restructuring framework is used.
In particular, the standard for decision-making of the managing directors in the selection and implementation of crisis response measures is outlined in the light of the directive requirements and the distribution of competences within the company for such measures is determined. The analysis is limited to the legal situation in German corporate law.
Der Autor begegnet auf der Grundlage der Analyse der Vorgaben des Art. 19 der Europäischen Restrukturierungsrichtlinie und darauf aufbauend dem Pflichtenprogramm der Geschäftsleiter nach § 1 Abs. 1 StaRUG zum Krisenmanagement den Zweifeln an der hinreichenden Umsetzung der Richtlinienvorgaben für den Zeitraum vor der Inanspruchnahme des präventiven Stabilisierungs- und Restrukturierungsrahmens.
Dabei werden im Lichte der Richtlinienvorgaben insbesondere der Entscheidungsspielraum der Geschäftsleiter bei der Auswahl und Umsetzung von Krisenreaktionsmaßnahmen konturiert sowie die innergesellschaftliche Kompetenzverteilung für derartige Maßnahmen bestimmt. Die Untersuchung beschränkt sich dabei auf die Rechtslage in der GmbH und der AG.
