In Germany, multiple voting shares have been prohibited since the German Law on Control and Transparency in Business (KonTraG) in 1998. This ban was influenced by the abuses with those shares after World War I and the establishment of the one-share-one-vote principle. However, with the EU Listing Act and the German Future Financing Act (Zu-FinG), multiple voting shares are set to make a comeback.

This study attempts to develop an interest-oriented regulation for German Dual-Class Structures using a comparative, economic and empirical approach.
