They must be made with the acceptance of a high proportion of non-knowledge, but in the event of success they enable an exceptionally large individual and overall economic benefit that is essential for competitiveness in a market economy. Despite this importance, the risk of liability according to § 93 of the German Stock Corporation Act (AktG), is particularly high in the case of innovation decisions. This thesis examines the conflict potential of board liability with regard to innovation decisions and shows possible solutions to reconcile board liability and openness to innovation.
Innovationsentscheidungen sind der Archetyp der unternehmerischen Entscheidung. Sie müssen unter Inkaufnahme eines hohen Nichtwissensanteils getroffen werden, ermöglichen im Erfolgsfall jedoch einen außergewöhnlich großen und für die Konkurrenzfähigkeit in einem marktwirtschaftlichen Umfeld essentiellen einzel- und gesamtwirtschaftlichen Nutzen. Trotz dieser Bedeutung ist das Risiko einer Haftung des Vorstands nach § 93 AktG bei Innovationsentscheidungen besonders hoch. Diese Arbeit geht der Frage nach, welches Konfliktpotential die Vorstandshaftung im Hinblick auf Innovationsentscheidungen birgt und zeigt Lösungsansätze auf, um Vorstandshaftung und Innovationsoffenheit miteinander in Einklang zu bringen.
