englischThe question of the legal basis of the duty of loyalty of members of a limited liability company is a "classic" of company law. It has not yet been decided by either the legislature or the supreme court and is the subject of controversial debate in the literature. In this work, the author devotes himself to the academic analysis of this dogmatic topic. In doing so, he not only draws on previous academic approaches and case law on the justification of the duty of loyalty, but also develops new approaches against the background of current literature and case law.
Die Frage nach der Rechtsgrundlage der mitgliedschaftlichen Treuepflicht im GmbH-Recht ist ein „Klassiker“ des Gesellschaftsrechts. Sie ist bis heute weder gesetzlich noch höchstrichterlich entschieden und wird im Schrifttum kontrovers diskutiert. Im vorliegenden Werk widmet sich der Verfasser der wissenschaftlichen Aufarbeitung dieses dogmatischen Themas. Dabei greift er nicht nur auf die bisherigen wissenschaftlichen Ansätze und die Rechtsprechung zur Begründung der Treuepflicht zurück, sondern entwickelt auch neue Lösungsversuche vor dem Hintergrund der aktuellen Literatur und Rechtsprechung.
