Der Verfasser erörtert den personellen Anwendungsbereich des § 39 Abs. 1 Nr. 5 InsO. Die Frage wird zum einen durch Vergleiche mit dem früheren Eigenkapitalersatzrecht sowie den im US-amerikanischen Recht verwendeten Ansätzen beleuchtet. Zum anderen analysiert der Verfasser die Norm aus rechtsökonomischer Sicht. Er kommt zum Schluss, dass die von der herrschenden Meinung aufgestellten Kriterien nicht ausreichen: Da das betragsmäßige Verhältnis von Darlehenshöhe und dem übrigen nachrangigen Kapital bislang nicht genügend berücksichtigt wird, würden die Auswirkungen der Nachordnung auf den Gläubigerschutz nicht hinreichend gewürdigt. Der Verfasser fordert daher eine Ausweitung des anzuwendenden Kriterienkatalogs, was letztlich zu einer restriktiveren Auslegung des § 39 Abs. 1 Nr. 5 InsO in personeller Hinsicht führt.
englischThe author discusses the personal scope of § 39 para 1 no. 5 InsO. This is done by engaging a comparison with the rules of the former law on substituted equity and the legal instruments applied in US law. Additionally, the author analysis § 39 para 1 no. 5 InsO under the principles of the economics of law. The conclusion the study draws is that the criteria currently used by the prevailing opinion are not sufficient. This is due to the matter that they do not sufficiently reflect on the ratio of equity to subordinated loan and the resulting implications for creditors. The author therefor calls to extend the catalogue of applicable criteria which has the effect that the personal scope of § 39 para 1 no. 5 InsO would be interpreted more narrowly than currently.
